Summary:
The Senior Paralegal will play a pivotal role in providing comprehensive legal support to Blue Foundry Bancorp, its subsidiaries, and affiliated entities, including Blue Foundry Bank (collectively referred to as the Organization). This position is integral to ensuring compliance with regulatory requirements, internal policies, and industry standards. The Senior Paralegal will collaborate with internal business lines and support functions to provide legal expertise and perform various legal duties to meet the Organization's operational and strategic objectives.
This role demands a thorough understanding of the legal and regulatory framework governing financial institutions, including banking laws, compliance regulations, and corporate governance. With strong advisory skills, the Senior Paralegal will deliver proactive and practical legal solutions, supporting the Organization's growth while mitigating risks and promoting ethical business practices.
This role is suited for an individual with exceptional legal acumen, organizational skills, and the ability to navigate complex legal scenarios while fostering alignment with the Organization's objectives. The Senior Paralegal will be a trusted partner in supporting the Organization’s mission to deliver excellence in banking services.
Minimum/Essential Job Requirements:
Primary Responsibilities
Assist with corporate governance matters, such as taking minutes, maintaining corporate records, preparing board meeting materials, and ensuring compliance with corporate formalities
Coordinate response and gather data for regulatory exams, audits, and subpoena compliance
Assist with regulatory compliance including Regulation O and state regulatory filings.
Analyze, draft, review legal documents such as deeds, promissory notes, leases, mortgages, guarantees, cross-collateral agreements, Uniform Commercial Code financing statements, purchase and sale agreements, and other documentation necessary to consummate financial transactions
Review vendor contracts
Provide support for compliance with SEC and other federal agency rules and regulations
Respond to branch queries and review applicable account holder documentation
Review documentation for probate claims, wage garnishments, subpoenas, POA’s
Manage subpoena compliance
Provide litigation support
Additional Responsibilities
Research and analyze legal resources including statutes, regulations, codes, judicial decisions, and articles
Prepare and review legal documents such as memoranda, pleadings, and contracts, for review, approval, and use by attorney
Maintain digital document files
Perform other miscellaneous duties as assigned
